Notice

Welcome. You are about to sign the Tengence Cloud Product Service Agreement (the "Agreement") with Shenzhen Sixun Network Technology Co., Ltd. ("Sixun Network", "we", "us" or "our") and to use the Tengence Cloud services (the "Services").

[Read Carefully] Before agreeing to this Agreement, you should read all of its terms carefully. Please pay particular attention to provisions that limit or exclude liability, provisions on governing law and dispute resolution, and other provisions concerning your material rights and interests, which are identified in bold. If you have any questions, contact us through the ticket channel specified in this Agreement.

General Terms

1. Execution

1.1 By reading, checking, clicking to agree to this Agreement, or otherwise accepting it (e.g., by actually using the Services), you confirm that you have fully read, understood and accepted the entire Agreement and reached mutual consent with Shenzhen Sixun Network Technology Co., Ltd. This Agreement takes effect on the date you click [Register/Confirm/Agree] on a web page or otherwise accept it. If you do not agree to this Agreement or any of its terms while reading it, do not execute it or use the Services.

1.2 You acknowledge and confirm that, unless otherwise agreed, products and services activated via API or similar system integration are also governed by this Agreement. Please check this Agreement and its updated versions on the Tengence Cloud website from time to time or after receiving a change notice.

2. Contracting Parties and Scope

2.1 Service Provider

The service provider under this Agreement is Shenzhen Sixun Network Technology Co., Ltd., which is solely responsible for the delivery, technical support, fee settlement and performance of the Tengence Cloud products, and bears the corresponding legal liability independently.

2.2 Scope of the Agreement

This Agreement constitutes the complete agreement between the parties regarding the Tengence Cloud products and services and is the sole basis for determining the rights and obligations of the parties. Product descriptions, service specifications, billing standards and order information displayed on the Tengence Cloud website (www.tengence.com) are integral parts of this Agreement and have the same legal effect as its main body.

3. Service Content and Delivery

3.1 Definition of Services

In this clause, "Services" means the Tengence Cloud products and services displayed on the Tengence Cloud website (www.tengence.com) that you apply for and that Shenzhen Sixun Network Technology Co., Ltd. agrees to provide to you. The specific scope shall be based on what we actually deliver and what you can normally use.

3.2 Service Activation

3.2.1 You may purchase services directly on the Tengence Cloud website. We will grant the corresponding service permissions based on your order. For beta or invitation-only products, you must submit an application following the published process and may use them only after approval.

3.2.2 Before using any product/service, you should carefully read and comply with the product/service descriptions, technical specifications, usage guides and documentation displayed on the website, and fully understand the relevant content and possible consequences. You should follow the relevant operating instructions when using the Services. You are solely responsible for consequences arising from your failure to do so; we assume no liability. Please proceed with care.

3.2.3 If you activate products/services via API or similar system integration, you should also undertake to review the published service content and updates on the website regularly and/or before purchasing, to ensure full awareness of service rules and requirements.

3.3 Service Support

During the service period, we will provide you with online ticket consultation support to answer questions about product features, operation processes and troubleshooting. You may submit tickets through the designated entrance on the Tengence Cloud website, and we will respond and handle them within a reasonable time.

3.4 Suspension, Change and Termination of Services

3.4.1 Prepaid services

(1) Once you have paid and we have confirmed receipt, the service is officially activated. You may log in and use the account, keys and credentials to access the Services, and the service period begins at activation.

(2) Services sold on a fixed term (e.g., annual/monthly) last until the end of the subscription term; services sold as resource packs (or package bundles) last until the pack expires or its resources are fully used, whichever occurs first. If you cancel before the term ends without legitimate reason, we may handle it according to the rules stated in the order on the website, including but not limited to charging a cancellation fee or deducting part of the fees.

(3) You should use up the purchased resource pack within the service period. Upon expiry, any unused portion automatically lapses and we provide no replacement or supplementary service.

(4) Your usage first consumes the purchased resource pack. After the pack is used up or expires, if you continue using the Services without renewal, we will continue billing at the postpaid rate and deduct fees accordingly.

3.4.2 Postpaid services: You may use the Services first and must pay the full fees on the agreed cycle. You should keep sufficient account balance or working payment channels to ensure uninterrupted use.

3.4.3 To improve user experience and service content, we may upgrade, maintain or optimize the products, services and systems from time to time. Such operations may cause brief service interruptions for which we bear no liability, though we will endeavor to notify you in advance via website announcements or in-site notices.

3.4.4 The service period terminates early under any of the following circumstances:

(1) the parties agree to terminate early;

(2) you materially breach this Agreement or applicable laws, in which case we may unilaterally terminate the Services early and delete the relevant data;

(3) the Services cannot be continuously provided due to causes beyond our control, such as cyberattacks, virus intrusion or interruption of telecommunications lines;

(4) continued provision of the Services would cause us or you to violate current laws, regulations or rules.

3.4.5 We may change or terminate part or all of the Services based on technical upgrades, business strategies or policy requirements. Before termination, we will publish an announcement on the Tengence Cloud website in advance and refund prepaid but unconsumed service fees to your Tengence Cloud account.

4. Service Fees

4.1 Fees are based on the published prices shown on the order page of the Tengence Cloud website. You may choose prepaid or postpaid billing.

4.2 Prepaid: We start providing services after you complete payment. If payment is not made within the agreed time after ordering, the order automatically lapses and the service relationship terminates. For renewals, complete the renewal before the term ends to avoid interruption.

4.3 Postpaid: You use the Services first, and we issue invoices on the agreed cycle. You must pay the full amount within the time stated on the invoice. Specific billing rules are as published on the website.

4.4 We may run promotions from time to time, including discounts, coupons and resource giveaways. Promotion rules are as published on the activity page. Multiple promotions cannot be stacked. If you cancel without valid reason after enjoying a promotion, we may cancel the promotion and re-calculate the fees for services used at the original price.

4.5 Free services provided through beta or invitation programs are charged nothing. If they later become paid, we will announce this on the website in advance, and continued use will be billed at the new rate.

4.6 We may adjust prices for paid services. Changes will be published on the website 30 days in advance and apply only to future orders, without affecting services you have already paid for.

4.7 You must pay through payment methods we support. The payer must match the real-name identity of the Tengence Cloud account. Any compliance risk or payment dispute arising from a mismatch is your responsibility.

4.8 We issue settlement statements based on orders and usage. If you dispute an invoice, submit a review request via ticket within 5 business days of receipt; failure to do so is deemed acceptance. During review, you must pay the undisputed portion first; disputed amounts are settled per the verified result.

4.9 You may enable auto-renewal, under which the next cycle's fee is automatically deducted before expiry at the then-published rate. You may disable it at any time.

4.10 We will issue compliant VAT invoices per national tax rules. You may apply via the website or tickets. For invoice reversal or re-issuance, you must cooperate by providing documents required by tax authorities.

5. Arrears and Suspension

5.1 You should pay service fees in full and on time. In case of arrears, we will remind you via tickets or in-site notices.

5.2 If you fail to pay as agreed, we may suspend the Services and technical support until all arrears are settled. We may also charge liquidated damages of 0.05% of the outstanding amount per day until the arrears are cleared.

5.3 Multiple Tengence Cloud accounts under your name are billed independently. If one account is in arrears, we may suspend that account; if multiple accounts are in arrears, we may consolidate and offset the funds in the accounts, and terminate all account services if arrears remain.

5.4 If services are terminated due to arrears, we will retain your business data for a reasonable grace period, after which all data (including caches and backup copies) will be permanently deleted and cannot be recovered. Any resulting loss is your responsibility, and we have no obligation to return or export the data.

6. Network and Data Security

6.1 You must strictly comply with national laws on cybersecurity and data security, and are responsible for the safekeeping of your account and password and for all operations under your account. Losses caused by account leakage or improper operation are your responsibility.

6.2 You are responsible for backing up your business data. We only provide routine maintenance of the underlying infrastructure and assume no backup obligation for your business data.

6.3 We are responsible for the security maintenance of the underlying systems and hardware of the Tengence Cloud products and for guarding against infrastructure-level risks. You should implement application-layer and data-layer security measures based on your needs and promptly address vulnerabilities, attacks and other security risks.

6.4 You must not use the Services to endanger network security, infringe the rights of others, or violate laws. You must not upload, store or disseminate unlawful data. Otherwise, we may immediately suspend the Services and reserve the right to pursue liability.

You bear all legal liability arising from unlawful data.

7.1.5 You should cooperate with state authorities conducting lawful inspections or investigations and provide relevant data, logs and other materials as required.

7.1.6 The Services are for your own use only. Without our prior written consent, you must not lend, lease or resell them to any third party.

7.2.5 If you breach this Agreement, we may restrict functions, suspend services, terminate the Agreement and claim damages.

8. Third-Party Components

8.1 Tengence Cloud products may include open-source components, third-party software or other content not developed by us. Such components follow their own licenses or authorization terms, which we will publish on the relevant website pages; you must comply with them accordingly.

8.2 We do not warrant the security or stability of third-party components. Disputes arising from third-party components shall be resolved between you and the third-party right holders; we only provide necessary assistance.

9. User Data

9.1 All business data processed, stored or uploaded through the Services belongs to you. We only provide technical services such as data storage and transmission based on your operating instructions.

9.2 Except as required by law, requested by state authorities, or authorized by you in writing, we will not access, use or disclose your business data to third parties.

9.3 After service expiry, early termination or suspension for arrears, we will clean up data as agreed in this Agreement. You should back up all business data in advance; we bear no liability for data loss due to failure to back up.

9.4 You must not process or store state secrets through the Services. If you need to process sensitive data, complete the necessary compliance filings and adopt encryption protection measures on your own.

10. Intellectual Property

10.1 All intellectual property rights related to the Tengence Cloud products, website and services, including trademarks, software copyrights, patents and documentation, belong to Shenzhen Sixun Network Technology Co., Ltd. and are protected by law.

10.2 You only obtain the right to use the Services as set out in this Agreement. You must not copy, modify, reverse-engineer, disassemble or disseminate the source code or technical documentation of the products, or infringe our intellectual property.

10.3 You warrant that the content and data uploaded to the Tengence Cloud platform do not infringe third-party intellectual property. If any third-party complaint or claim arises, you handle it at your own cost and bear all losses; we bear no liability.

11. Confidentiality

11.1 The parties shall keep confidential any trade secrets, technical information, user data, order information and other confidential information learned during the performance of this Agreement, and shall not disclose them to any third party without the other party's prior written consent.

11.3 The confidentiality obligation does not apply to: information already in the public domain; information lawfully obtained from third parties; information independently developed by a party without using the other party's confidential information; and information required to be disclosed by law.

12. Liability for Breach

12.2 If your breach causes us losses, administrative penalties or third-party claims, you shall compensate us in full for actual losses and the costs of enforcing our rights.

12.3 If the Services are unavailable for 72 consecutive hours due to our fault, you may apply to terminate the Services and we will refund the unused prepaid portion. Service interruptions caused by force majeure, third parties or your improper operation do not constitute our breach.

12.4 Except as mandatorily required by law, our aggregate liability under this Agreement shall not exceed the total fees you paid for the Services in the 12 months preceding the loss.

13. Export Control

The parties undertake to strictly comply with the export control and sanctions laws of the People's Republic of China.
